Everyone thinks of Amazing Spider-Man #252 when it comes to the 1st black costume but they seem to forget that Marvel Team-Up #141 is tied for the same distinction! And what better way to usher in the first ever costume change for Spidey than with an Art Adams & Mike Mignola cover!
The new costume is the main attraction here, but don't forget the double-team-up with the Black Widow and Daredevil!

So I guess a press may have bumped this one up a bit, but it would have remained out of 9.8 range. Still, this is my own personal copy that I'm pretty sure I picked up off the rack (hence the newsstand version) so I'll settle for an OW-WH 8.5 on a 40-year old copy!
Key Comments: Ties with Amazing Spider-Man #252 for first appearance of the black costume. Daredevil & Black Widow appearance.
